Riley Hutchinson trading as Proactive Systems
ABN 31 595 124 509 · Victoria, Australia
Effective 15 October 2026
1. About Proactive Systems
Proactive Systems is an Australian business owned and operated by me, Riley Hutchinson, as a sole trader. ABN 31 595 124 509. I am based in Victoria, Australia.
I provide technology consulting, website development, business systems, automation, digital support and related services. These Terms govern website use and provide general information about service enquiries and engagements. They do not replace a separate written proposal, quotation, services agreement or other contract agreed with a client.
2. Website use
By accessing this website, you agree to use it lawfully and responsibly. You must not knowingly:
- Interfere with website security or functionality, or attempt unauthorised access to connected systems.
- Introduce malicious software or use the website unlawfully.
- Misuse enquiry forms or interactive demonstrations.
- Copy or commercially exploit protected website material without permission or another lawful basis.
Nothing in these Terms restricts rights that cannot lawfully be excluded.
3. Services
Services may include:
- Website design, development, improvements and maintenance.
- Search engine optimisation and Google Business Profile support.
- CRM implementation, lead-management systems and business process automation.
- Technology audits and consulting, booking and scheduling systems.
- Digital content and media support, and ongoing technology and operational support.
Services are subject to availability, technical feasibility and an agreed scope. Website descriptions provide general information and do not promise that every feature is included in every project.
4. Consultations and enquiries
The Free Business Systems Consultation is a free 30-minute introductory conversation to discuss your business requirements, understand relevant challenges, assess whether my services are suitable and identify a next step towards a quote.
It does not include a comprehensive business or technical audit, implementation work or an obligation to provide a formal proposal. Booking or attending does not create an ongoing service agreement.
5. Quotations and project agreements
Work is generally scoped to individual requirements. Before paid services commence, the relevant details should be confirmed through an appropriate quotation, proposal or agreement. This may include:
- Services, deliverables, scope and estimated timeframes.
- Fees, payment arrangements and relevant software or other third-party costs.
- Client responsibilities, revisions and support.
- Dependencies, ownership/licensing arrangements and applicable exclusions.
Where separate service terms have been agreed, those terms govern the relevant engagement, subject to applicable law.
6. Pricing and payments
Proactive Systems is not currently registered for Goods and Services Tax (GST). GST is therefore not charged on services supplied by Proactive Systems.
All service fees are quoted in Australian dollars unless otherwise stated. Project pricing, deliverables, payment arrangements and any third-party expenses will be confirmed through the relevant quotation or service agreement.
Additional work outside an agreed scope may require separate approval and quotation. If the business’s GST registration status changes, applicable pricing and invoicing arrangements will be updated accordingly.
Unless otherwise stated, website service descriptions are not fixed-price offers. Prices will be confirmed before paid work is undertaken. Third-party subscriptions, software licences, hosting fees and other external charges are not automatically included unless expressly stated.
7. Client responsibilities
Clients may need to provide information, content, feedback, approvals or system access to allow agreed work to proceed. Clients are responsible for ensuring they have authority to provide access to accounts, information and third-party materials.
Clients should maintain appropriate ownership and control of business accounts, including domain registrations and relevant software subscriptions. Project timelines may depend on timely cooperation and third-party availability.
8. Project delivery and revisions
Deliverables, revisions and timeframes are established through the relevant agreement. I aim to communicate clearly and complete agreed work with reasonable care and skill.
Estimated completion dates may depend on scope, approvals, technical dependencies and circumstances outside my reasonable control. Material scope changes may require revised fees or timeframes.
9. Ongoing support
Ongoing support is available where agreed. Scope, included work, availability, response arrangements and fees will be defined in the relevant support agreement.
Ongoing support does not automatically include unlimited work, unrestricted emergency availability or continuous monitoring. Additional work may be quoted separately.
10. Third-party software and platforms
Projects may involve website builders, hosting, CRM software, payment processors, scheduling tools or automation services, depending on the agreed work. These platforms operate under their own terms, pricing and technical limitations.
I cannot guarantee continuous third-party availability, retention of particular features or unchanged pricing. Where a limitation affects agreed services, rights and responsibilities are determined by the project agreement and applicable law.
11. Website and project intellectual property
Copyright and other intellectual property rights in this website’s original text, graphics and custom code, including interactive demonstrations, belong to me or the relevant rights holders, to the extent those rights subsist. Third-party materials remain subject to their applicable licences.
You may use this website and its demonstrations for their intended purposes, including evaluating my services, and make copies reasonably necessary for that use. Except as permitted by law, an applicable third-party licence or my written permission, you must not reproduce, adapt, distribute, sell or republish my copyright-protected material beyond this permission.
No permission is granted to use my branding in a way that misleadingly suggests endorsement or association. These terms do not claim ownership of general ideas, business methods or independently developed workflows, and do not limit statutory exceptions or rights that cannot lawfully be excluded.
This website-use permission does not determine ownership of a client project. Those arrangements belong in the relevant service agreement.
Eligible original material may include website content, written material, custom demonstrations, software code, graphics, interface designs, workflow visualisations and animation assets. This is not a claim that every component is owned by me or protected, or that general ideas and methods can be monopolised. Fonts, photographs, libraries and other third-party components remain subject to their respective rights and licences.
12. Interactive demonstrations
Public demonstrations illustrate potential website, workflow and business-system functionality. Unless expressly stated otherwise they use fictional or sample information, not live production systems, actual client information or operational integrations.
They are provided for information and evaluation. Their availability does not establish that particular functionality is included in a standard package. The demonstrations send no real requests, messages or bookings.
13. Confidentiality and client information
Technology and operational services may involve access to confidential business information. Information obtained during an engagement will be handled under the relevant agreement and applicable law.
Clients must provide appropriate authorisation before granting access to personal information, confidential records or third-party accounts. Project-specific confidentiality and data-handling requirements may be documented separately.
14. Website information and results
I aim to keep website information accurate and up to date. General service information, examples and technical explanations may not suit every business.
Website, SEO, automation and business-system results depend on business circumstances, implementation scope, market conditions, third-party platforms and ongoing management. Unless expressly agreed in writing, specific rankings, lead volumes, sales, revenue or business outcomes are not guaranteed. No such guarantee is made by the website examples.
15. Australian Consumer Law
Nothing in these Terms excludes, restricts or modifies any right, guarantee, remedy or liability that cannot lawfully be excluded, restricted or modified.
Where the Australian Consumer Law applies, services must satisfy applicable consumer guarantees, including due care and skill. Customers may be entitled to remedies where services fail to meet applicable guarantees. Limitations or exclusions in a separate services agreement operate only to the extent permitted by law.
16. Cancellations, refunds and disputes
Cancellation, rescheduling, refunds and termination for paid projects will be addressed in the relevant agreement and remain subject to applicable law. These website Terms do not establish a blanket no-refunds policy.
If a concern arises, contact [email protected] so I can review it and discuss the appropriate next step.
17. Website availability and security
I take reasonable steps to maintain the website, although uninterrupted access cannot be guaranteed. Maintenance, platform issues, technical faults or other circumstances may affect availability.
Visitors must not bypass security measures, interfere with functionality or gain unauthorised access to connected systems. This does not exclude liabilities or responsibilities that cannot lawfully be excluded.
18. Privacy
Personal information collected through this website is handled under the Proactive Systems Privacy Policy and applicable law. Please review it to understand information handling.
19. Changes to these Terms
These Terms may be updated to reflect changes to the website, services or applicable law. The current approved version will display its effective date. Changes to website Terms do not automatically amend an existing client contract.
This version takes effect on 15 October 2026. It does not change any separate service agreement already in place.
20. Governing law
These Terms are governed by the laws of Victoria, Australia, subject to mandatory legal protections or jurisdictional requirements that apply.
